Terms and Conditions


These Loyalty Program Terms and Conditions (“Loyalty Terms”) supplement all other Oats Overnight terms and policies, including the general Terms and Conditions, Subscription Terms, Mobile Terms, Gifting Terms, and the Privacy Policy (collectively, “Other Terms”). These Loyalty Terms do not replace or override the Other Terms unless expressly stated. In the event of a conflict, the Other Terms control unless these Loyalty Terms expressly specify otherwise.


SECTION 1 - ELEGIBILITY

The Oats Overnight Loyalty Program (“Program”) is available to individuals who create an account on oatsovernight.com and are capable of agreeing to these Loyalty Terms.

Oats Overnight may exclude employees, affiliates, or partners from participation at its discretion.


SECTION 2 - ENROLLMENT

Enrollment in the Program is free and automatic upon account creation.

Participation in the Program constitutes acceptance of these Loyalty Terms and any subsequent updates.

A valid email address is required to participate.


SECTION 3 - EARNING

Members may earn oon through eligible actions, including: (a) purchasing products; (b) participating in promotions; (c) completing surveys; (d) rating new flavors; (e) maintaining subscription streaks; (f) referring eligible customers; and (g) other actions approved by the Program.

oon is awarded based on the subtotal of eligible purchases after discounts. Taxes, shipping, gift cards, and other non-qualifying charges may not earn oon at Oats Overnight’s discretion.

oon generally posts within a reasonable period following the eligible action, subject to verification, fraud review, and technical limitations. oon earned from orders typically posts after the order ships unless otherwise specified.

oon does not expire.

Retroactive oon. Oats Overnight may award oon for eligible purchases and referrals (up to ten (10)) occurring prior to Program launch. Retroactive oon applies only to actions that qualify under current Program rules. If retroactive oon results in a reward, fulfillment will occur with the member’s next subscription order or by another method at Oats Overnight’s discretion.


SECTION 4 - SURVEYS AND FLAVOR RATINGS

Completing eligible surveys earns oon and may contribute to loyalty-related metrics.

Rating a new flavor earns oon. Rating a previously rated flavor does not earn additional oon.


SECTION 5 - SUBSCRIPTION STREAKS

Streaks apply at the customer level.

A streak increases each time an order containing at least one active subscription processes.

Multiple subscriptions processed in a single shipment count as one (1) streak increment.

Subscriptions processed separately count as separate streak increments.

A streak resets when a customer has zero (0) active subscriptions.

Streak-related oon may scale with order count, subject to Program-defined limits.

Streak-related oon is awarded in addition to oon earned from the underlying purchase.


SECTION 6 - FID SUBSCRIPTION FEATURE

At the Ambassador tier, members may unlock the ability to subscribe to Flavor Innovation Drops (“FIDs”).

When enabled, up to two (2) FIDs may be added to each upcoming subscription order for a fixed fee per FID.

Turning the feature off prevents automatic FIDs on future queued orders and removes these recurring FIDs from any order in the queue.

FIDs may remain available for purchase a la carte on a first-come, first-served basis.


SECTION 7 - REFERRAL

Members may earn oon for referring new customers who complete qualifying actions.

Referral-based oon is limited to the first ten (10) qualifying referrals.

Additional referrals may be accepted but will not earn oon beyond the limit.


SECTION 8 - UNLIMITED BALANCE CAP

Members may accumulate an unlimited amount of oon.

Referral-based oon is subject to the cap stated in Section 7.


SECTION 9 - NATURE OF oon

oon is not redeemable for cash, discounts, credits, or products.

oon functions solely as a progression metric used to determine tier status and associated non-monetary benefits.

oon has no cash value and is nontransferable.


SECTION 10 - LOYALTY TIERS

Tier status is determined by total accumulated oon.

Each tier may unlock non-monetary benefits, including access to exclusive features, physical rewards, and other perks.

Oats Overnight may modify tier thresholds, benefits, and requirements at any time.


SECTION 11 - PHYSICAL REWARDS

Physical rewards are granted based on tier qualification and are not redeemed using oon.

Physical rewards will typically be shipped with the member’s next subscription order; timing may vary based on availability and shipping schedules.


SECTION 12 - LIFETIME oon AND ACTIVITY HISTORY

Members may view lifetime oon earned and a log of selected oon-earning actions.

Certain oon-earning events may not be displayed at Oats Overnight’s discretion.

Tier ranges and benefits may be displayed in the loyalty dashboard.


SECTION 13 - PROGRESSION AND NOTIFICATIONS

The Program may display notifications, including in-app messages or emails, when a member reaches a new tier.

Progress meters and visual indicators are informational only and do not alter Program rules.


SECTION 14 - RETURNS, ADJUSTMENTS AND CORRECTIONS

If a purchase is returned or refunded, associated oon may be removed.

If an order is canceled before fulfillment, associated oon may be removed.

Tier status may adjust if corrections reduce a member’s oon below a tier threshold.

Oats Overnight may adjust oon balances or other progression metrics at any time to correct errors or address suspected misuse.


SECTION 15 - FRAUD, ABUSE, OR MISUSE

Oats Overnight may revoke oon, badges, tier status, or Program participation upon suspicion of fraud, abuse, gaming of the Program, or violation of these Loyalty Terms.


SECTION 16 - PROGRAM CHANGES

Oats Overnight may modify, suspend, or terminate the Program at any time.

If the Program is terminated, all oon, tiers, badges, and benefits may expire without compensation.


SECTION 17 - COMMUNICATIONS

Members may opt out of marketing communications.

Members will continue to receive operational and Program-related notices.


SECTION 18 - PRIVACY

Participation in the Program is subject to the Oats Overnight Privacy Policy.

Data collected through the Program is processed in accordance with that policy.

Members are responsible for maintaining accurate account information.


SECTION 19 - LIMITATION OF LIABILITY

Oats Overnight is not liable for system errors, technical issues, or unauthorized access to member accounts.

Participation in the Program is at the member’s own risk.


SECTION 20 - GOVERNING LAW

These Loyalty Terms are governed by the laws of the jurisdiction in which Oats Overnight operates.
